Welcome to Imdpc (“we,” “us,” “our,” or the “Company”). These Terms of Service (“Terms,” “Agreement”) govern your access to and use of the Imdpc website located at imdpc.com (the “Service” or “Website”).

This Agreement is a legally binding contract between you (“User,” “you,” or “your”) and Imdpc regarding your use of the Service. By using the Service, you represent that you are at least the age of majority in your jurisdiction of residence, or if you are a minor, that you have obtained parental or guardian consent to use the Service and are under their supervision. We may modify these Terms at any time, and such modifications will be effective upon posting. Your continued use of the Service constitutes acceptance of the modified Terms.
2. Description of Service
Imdpc is a news aggregation service. We collect, curate, and display headlines, summaries, excerpts, and links (“Aggregated Content”) to news articles and other content from a wide variety of third-party sources (“Source Providers”). We do not create the original news content ourselves. Our service is designed to provide users with a convenient overview of current events from multiple perspectives.
3. Intellectual Property Rights
3.1. Our Intellectual Property
All rights, title, and interest in and to the Service (excluding Aggregated Content and User Content) including but not limited to the Website’s design, logo, graphics, compilation of Aggregated Content, and all software and technology underlying the Service, are and will remain the exclusive property of Imdpc and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
3.2. Aggregated Content and Fair Use Doctrine
The Aggregated Content displayed on our Service is the intellectual property of the respective Source Providers and is protected by copyright and other intellectual property laws. Imdpc does not claim ownership over the original content created by Source Providers.
We believe our use of this content constitutes a “fair use” under Section 107 of the U.S. Copyright Act and analogous laws in other jurisdictions. Our aggregation and presentation of such content is transformative, as it provides a centralized index and summary of news for informational and educational purposes. We act in good faith to provide:
- Proper Attribution: We clearly identify and attribute each piece of Aggregated Content to its original Source Provider, including the source’s name and a direct link to the original, full article on the source’s website.
- Limited Excerpts: We typically display only headlines, ledes, and short, limited excerpts from the original articles to provide context and encourage users to click through to the source.
- Non-Commercial Nature (of the use itself): While our Service may be supported by advertising, the specific use of the copyrighted work is for the non-commercial purpose of public information and education.
- No Market Substitution: Our Service is designed to drive traffic to Source Providers, not to substitute for the original work. We do not host full-text articles in a manner that would allow users to avoid visiting the source website.

We do not monitor, control, or warrant User Content, and you acknowledge that by using the Service, you may be exposed to User Content that is offensive, harmful, inaccurate, or otherwise inappropriate. You understand that you bear all risks associated with the use of any User Content. Under no circumstances will Imdpc be liable in any way for any User Content.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such User Content in connection with the Service.

The Service consists primarily of links to external third-party websites and content. We have no control over, and assume no responsibility for, the content, privacy policies, accuracy, opinions, or practices of any third-party websites or services.
Disclaimer of Liability for Third-Party Content: You acknowledge and agree that Imdpc shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services available on or through any such websites or services. The inclusion of any link does not imply endorsement by Imdpc. You access and use third-party links at your own risk.

Imdpc respects the intellectual property rights of others and expects its users to do the same. IMPDC, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS EXPRESSLY DISCLAIM ALL STATUTORY OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
IMPDC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. IMPDC DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AGGREGATED CONTENT, USER CONTENT, OR THIRD-PARTY CONTENT, AND YOU RELY ON SUCH CONTENT SOLELY AT YOUR OWN RISK. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IMPDC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE SERVICE; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF IMPDC AND ITS AFFILIATES AND LICENSORS FOR ANY CLAIM UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS.
10. Indemnification
You agree to defend, indemnify, and hold harmless Imdpc and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.
11. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We also reserve the right to revise these Terms at our sole discretion.
